Karina is a Counsel at Zan Hub. She has over 20 years of experience as a legal professional, having worked with commercial banks, private organizations, and consulting firms. Karina represents both local and international clients across a wide range of transactions, including mergers and acquisitions, banking, and finance matters. She also advises clients on regulatory aspects of doing business in Kazakhstan. Her extensive experience includes complex transactions in the banking sector, such as syndicated loans and project finance. In addition, she provides legal counsel on labor law and anti-corruption compliance.

Prior to joining Zan Hub, Karina worked at Aequitas and White & Case, and served as in-house counsel for several second-tier banks, including Kazkommertsbank, BTA Bank, and Kaspi Bank, as well as for the Air Liquide group of companies in Kazakhstan. Karina is a member of the Kazakhstan Bar Association (KazBar).

  • KazMunaiGas Exploration and Production JSC, a subsidiary of the leading Kazakhstan-based Oil & Gas Company, on the buyback of shares and GDRs as well as their delisting from the London Stock Exchange and Kazakhstan Stock Exchange
  • A syndicate of banks including Credit Suisse and J.P. Morgan as joint global coordinators and joint bookrunners, on the initial public offering of JSC NAC Kazatomprom
  • Deutsche Bank, ITI Capital and Halyk Finance as joint lead managers on the offering of CHF 170 million (approximately US$170 million) notes by Joint Stock Company National Company “Kazakhstan Temir Zholy,” the national rail transportation and logistics operator in Kazakshtan
  • Citigroup, Société Générale and BCC Invest as arrangers and dealers and joint lead managers on the update of the Republic of Kazakhstan's US$10 billion global medium-term note (GMTN) program and debut issuance of euro-denominated bonds in two tranches thereunder
  • A central state agency in relation to the preparation of the law amendments enshrining the concept of “justified judgement” into the financial market regulation in Kazakhstan
  • Foreign investors in connection to acquisition of a number of Kazakhstan companies – subsoil users and companies engaged in cargo transportation and manufacturing industry
  • IPO of Kazatomprom, the world’s largest uranium producer, including GDR placement on the London Stock Exchange and the first dual listing of shares and GDRs on the AIX (AIFC Exchange)
